GmbH Company Formation

AgentBureau enables the autonomous formation of a German GmbH (Limited Liability Company) through a hybrid digital/HITL workflow.

  1. Initial Submission: You submit the desired company name, shareholder structure, and managing director details.
  2. KYC/AML: All shareholders and directors must complete a VideoIdent verification (see KYC Policy).
  3. Notary Appointment: We schedule a remote notary appointment via video conference. No physical travel to Germany is required.
  4. Capital Deposit: You deposit the share capital (minimum €12,500 for a regular GmbH, or €1 for a UG) into the new company bank account.
  5. Commercial Register: The notary submits the documents to the Handelsregister (Commercial Register).
  6. Finalization: Once registered, you receive your registration number (HRB) and official documents.

Unlike our purely digital services, company formation involves several human-mediated steps:

  • Review: A legal specialist reviews your submission for completeness and naming conflicts.
  • Coordination: An operator coordinates with the notary and the bank.
  • Escrow: We can act as an escrow agent for the share capital if required.
  • Preparation: 2–5 business days.
  • Notary Appointment: 1–2 weeks (depending on availability).
  • Registration: 2–4 weeks (depending on the local court).
  • Valid passport for all involved parties.
  • Proof of address.
  • Clear business purpose (Gegenstand des Unternehmens).
